Terms of Service The File-Express.hketc.com, Filex.hketc.com, Filelink.hketc.com services are being provided to you by Hong Kong E-Trade Centre( "HKETC") under the terms and conditions expressed in this document. Your use of the above web sites will indicate that you accept these terms and conditions. Modification to Terms HKETC reserves the right to change the terms and conditions of this Agreement or its policies relating to the Service at any time. You are responsible for regularly reviewing this Agreement. Continued use of the Service after any such changes shall constitute your consent to such changes. Limitation of Liability In no event will HKETC or any of its shareholders, directors or other officers or employees be liable or have any responsibility for damages of any kind, whether direct, indirect, special , consequential or incidental (including, but not limited to damages for loss of revenue, loss of profits, business interruption, loss of information or data, computer interruption or the like), resulting from access to or use of, or inability to access or use, this site or any site or pages linked to this site, including (without limitation) damages resulting from the act or omission of third party, even if HKETC has been advised of the possibility thereof. HKETC is not responsible for the files of any user accounts. HKETC reserves the right to remove the files that are in violation of our terms and conditions. You will be held legally responsible for the contents of files. The use of HKETC for illegal purposes is strictly forbidden and the files will be removed without notice. A user account is required to access the Service and may be accessed and used only by those authorized individuals who are registered with HKETC. In registering for the Service, you agree to submit accurate, current and complete information about you and promptly update such information. Should HKETC suspect that such information is untrue, inaccurate, not current or incomplete, HKETC has the right to suspend or terminate your usage of the Service. HKETC will not be liable for any files lost and corrupted which may occur from a system crash or hard disk failure. To the full extent permissible under the applicable law, HKETC shall not be liable for any direct, indirect, incidental, special or consequential damages resulting from the use or inability to use service. Restrictions You are permitted to store, manipulate, analyze, reformat, print, and display the Content only for your personal use. Unauthorized use of the Service, or the resale of the Services without HKETC's prior written consent, is expressly prohibited. You shall not copy, license, sell, transfer, transmit, make available, distribute, publish, or assign this license or the Content in any format to any third party. Third Party Interaction In your use of the Service, you may enter into correspondence with, purchase goods and/or services, or participate in promotions of advertisers or sponsors showing their goods and/or services through the Service. Any such activity, and any terms, conditions, warranties or representations associated with such activity, is solely between you and the applicable third-party. HKETC shall have no liability, obligation or responsibility for any such correspondence, purchase or promotion between you and any such third-party. Links to Third Party Sites HKETC does not endorse any sites on the Internet that are linked through the Service. HKETC is providing these links to you only as a matter of convenience, and in no event shall HKETC be responsible for any content, products, or other materials on or available from such sites. User Responsibilities You are also solely responsible for any and all activities that occur under your account and ensuring that you exit or log-off from your account at the end of each session of use. You shall notify HKETC immediately of any unauthorized use of your password or account or any other breach of security that is known or suspected by you. You shall also use your best efforts to stop immediately any copying or distribution of Content that is known or suspected by you. HKETC shall not be responsible for any unauthorized access to, or alteration of, your transmissions or data, any material, information or data sent or received, regardless of whether the data is actually received by HKETC, or any transactions entered into through the Service or failure to abide by this Agreement. DO NOT MISUSE OR ABUSE OUR SYSTEM OR OUR SYSTEM RESOURCES (I.E. BANDWIDTH). YOUR ACCOUNT WILL BE IMMEDIATELY TERMINATED. In cases where you have allowed any other parties to use your account or have negligently made your password publicly available, you should recognize full responsibility for: (i) the online conduct of such user; (ii) controlling the users access to and use of HKETC and (iii) the consequences of any misuse. Account Information and Data HKETC does not own any data, information or material that you submit to the Service or store in your account ("Data"). HKETC will not monitor, edit, or disclose any information regarding you or your account, including any Data, without your prior permission except in accordance with this Agreement. Please be aware that HKETC does provide certain user registration and statistical information such as usage or user traffic patterns in aggregate form to third parties but such information will not include personally identifying information and that your Internet protocol address is not transmitted with each message sent from your HKETC account. HKETC may access your account, including its Data, to respond to service or technical problems or as stated in this Agreement. You, not HKETC, shall have sole responsibility for the accuracy, quality, integrity, legality, reliability, appropriateness and copyright of all Data and HKETC shall not be responsible or liable for the deletion, correction, destruction, damage, loss or failure to store any Data. HKETC has no obligation to monitor the Service and/or Content or any user's use thereof or retain the content of any user session. However, HKETC reserves the right at all times to monitor, review, retain and/or disclose any information as necessary to satisfy any applicable law, regulation, legal process or governmental request. Payment of Fees HKETC agrees to provide the services to the Customer. You shall pay the Fees, all applicable taxes and tariffs relating to it's use of the services. For the Long Term Service Plans, invoices will be sent on a yearly basis by electronic mail, post and/or facsimile transmission. Payment should be made before or on the due date. If You do not pay within 7 days after the due date, HKETC will be entitled to terminate this Agreement and/or the provision of any of the services offered - all the services offered will be terminated and all the contents/files stored will be deleted without further notice. For the Short Term Service Plans and the File-Express Service, all the services will be automatically terminated when it is expired and all the contents/files stored will be deleted without further notice. Credit Card Payments We are accept Visa, Mastercard cards for payment. We use various fraud prevention methods to protect us, our merchant account, our bank and the customer who owns the credit card being used. This includes tracking the IP number and ISP of the person who is using the credit card, verifying the card matches the Zip Code and Address of the cardholder. If anyone attempts to obtain service using a fraudulent or unauthorized credit card, your service will be terminated without warning, we will have the right to place an 'account suspended' page on your IP, and we will cooperate with authorities to report the incident and the information used to obtain the account including your domain name or email. We will also bill you for all charges to us, including but not limited to bank fees, amounts charged back, plus 5%. We take credit card fraud very seriously. If you have received a credit card statement with our name on it, and did not order our services, please email support@hketc.com immediately. Your credit card statement will be billed as worldpay.com. Termination HKETC, in its sole discretion, may terminate your password, account or use of the Service and remove and discard any Data within the Service if you fail to comply with this Agreement. You may terminate your user account upon notice to HKETC at any time; however, you will not receive a refund of any portion of your fees paid to HKETC. Upon termination by HKETC or at your direction, you may request a file of your Data, which HKETC will make available for a fee. You must make such request at the notification of termination to receive such file within (30) days of termination. HKETC reserves the right to remove all files upon termination of an account, HKETC shall have no obligation to maintain any Data stored in your account or to forward any Data to you or any third party. Privacy Policy Cookies Cookies are files that your web browser places on your computer's hard drive and are used to tell us whether you have visited the Service previously. HKETC uses a persistent cookie to help save and retrieve usernames used on the Service. HKETC issues a session cookie only to record encrypted authentication information for the duration of a specific session. The session cookie does not include either the username or password of the user. Limitations of Free Trial Accounts The functionality and storage space of Free Trial Accounts are limited. If the user does not subscribe the HKETC service after the trial period has expired. The accounts will be terminated and all the files will be deleted without further notice. HKETC holds the right to terminate the Free Trial Accounts without giving reasons. Disclaimer of Warranties HKETC MAKES NO REPRESENTATION, WARRANTY, OR GUARANTY AS TO THE RELIABILITY, TIMELINESS, QUALITY, SUITABILITY, TRUTH, AVAILABILITY, ACCURACY OR COMPLETENESS OF THE SERVICE OR ANY CONTENT. HKETC DOES NOT REPRESENT OR WARRANT THAT: (I) THE USE OF THE SERVICE WILL BE TIMELY, UNINTERRUPTED OR ERROR-FREE OR OPERATE IN COMBINATION WITH ANY OTHER HARDWARE, SOFTWARE, SYSTEM OR DATA, (II) THE SERVICE WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS, (III) THE QUALITY OF ANY PRODUCTS, SERVICES, INFORMATION, OR OTHER MATERIAL PURCHASED OR OBTAINED BY YOU THROUGH THE SERVICE WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS, (IV) ERRORS OR DEFECTS WILL BE CORRECTED, (V) THE SERVICE OR THE SERVER(S) THAT MAKE THE SERVICE AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. THE SERVICE AND ALL CONTENT IS PROVIDED TO YOU STRICTLY ON AN "AS IS" BASIS. ALL CONDITIONS, REPRESENTATIONS AND WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY OR OTHERWISE, INCLUDING, WITHOUT LIMITATION, ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT OF THIRD PARTY RIGHTS, ARE HEREBY DISCLAIMED TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW BY HKETC.
